General Terms and Conditions

1. Area of validity

The following conditions shall apply exclusively to the business relationship between Convoyage companion service and the customer. Any deviating agreements shall require the written approval of Convoyage companion service.

2. Content of the agreement

Convoyage companion service shall provide its customers a sincere companion service without any sexual contact.

The provision of companionship shall occur in the name of and for the account of the person utilising the companion service. A contractual agreement shall only come into effect on confirmation of the contract by Convoyage companion service and the irrevocable receipt of payment from the customer.

Services offered by Convoyage companion service shall not include sexual services. Convoyage companion service and the assigned companion shall be released from the service where this basic policy is disregarded. Verbal abuse or offers of erotic content to the companion shall also result in immediate termination of the appointment. Fees already paid shall not be reimbursed in this case.

Confirmation of the contract by Convoyage companion service shall be binding and shall be recognised as such.

Assignment of companions shall only be permitted in the case of persons of majority age and legally competent persons.

3. Fees

The fees shall be according to the valid fee structure in each case, and shall apply exclusively to the contract in question. All fees quoted are gross end prices and include the applicable statutory VAT amount.

All costs and expenditures incurred shall be for the account of the customer.

All services shall be provided on prepayment of the fee. Extended times shall be calculated in full hours.

Payment shall be made exclusively to Convoyage companion service.

4. Cancellation

A. Cancellation of the contract by the customer shall be in writing. The point in time of receipt of the cancellation shall be decisive in this regard.

In the event of a cancellation 7 days prior to the agreed appointment, the agreed fee shall not be payable. In the event of a cancellation up to 72 hours prior to the agreed appointment, a once-off administration fee of R1500.00 shall be charged. In the event of a cancellation up to 24 hours prior to the agreed appointment, a once-off administration fee of R2000.00 shall be charged. In the case of a no-show by the customer without prior cancellation, the minimum fee for 4 hours shall apply.

Convoyage companion service shall be permitted to set a grace period of half an hour for the agreed appointments and shall then have the option to invoice the appointment not adhered to, withdraw from providing the service, or reject the companionship and request compensation for damages up to the fee agreed plus expenses.

Any expenses already incurred shall in any event be for the account of the customer and shall be paid without delay.

Where the customer terminates the companionship prematurely, for whatever reason, in particular in the event of subsequent disapproval of the selection of the companion booked by him, no reimbursement of the fee shall be due.

B. Convoyage companion service shall be entitled to withdraw from the contract up to 72 hours before the agreed appointment without providing reasons. Such cancellation shall be conveyed to the customer immediately. Any amounts already paid shall be reimbursed without delay.

Where the appointment is missed due to unavoidable events, such as accident, traffic jam, strike, cancellation of flights, the waiting time shall be extended appropriately. Where it is impossible to provide the services for the same reasons, Convoyage companion service and the companion shall be released from providing the service. Any amounts already paid shall be reimbursed without delay. Additional compensation for damages shall be excluded.

5. Payments

Convoyage companion service invoices shall be due for immediate payment without deductions.

Credit cards, bills of exchange and crossed cheques shall not be accepted. No liability shall be assumed for loss of cash or cash cheques. Payment shall be made to a Convoyage companion service account. The services of the companion shall be invoked by the payment.

6. Reservation of rights

Convoyage companion service shall reserve all claims for the services provided until all claims against the customer, regardless of the reason, have been settled. Convoyage companion service shall expressly reserve the right to cede claims to a third party for collection.

The customer shall undertake not to place the companion in danger in any manner, in particular not to drive a vehicle while under the influence of alcohol.

Compensation for damages from Convoyage companion service shall be set at a maximum of the service fee and shall be limited to breaches of the contract that are due to either wilfulness or gross negligence on the part of Convoyage companion service. A written assertion of a claim for damages must be received by Convoyage companion service at the latest 7 days after termination of the contract.

7. Prohibition of recruitment

The customer shall be obliged to refrain from any actions designed to recruit the companion. In the sense of this clause, recruitment shall mean the acquisition of the companion for commercial provision of services in the area of companionship and event and exhibition activities, for translation and interpreting activities, or for comparable services for any service provider other than Convoyage companion service or by bypassing Convoyage companion service. Where the customer is in breach of this obligation, he/she shall be obliged to compensate Convoyage companion service for damages arising herefrom.

8. Cancellation

The customer shall no longer be bound by his/her intentions where these are cancelled within 7 days of concluding a written booking agreement that has been confirmed by Convoyage companion service. The cancellation shall be made in writing and be received within the deadline. It shall not be necessary to provide reasons. Upon receipt of the cancellation, Convoyage companion service shall be obliged to refund any payments made, to the extent that Convoyage has not incurred any expenses by agreement with the customer before the end of the cancellation.

9. Data protection

Customers' personal data shall be stored for orderly handling of the contract, and shall be treated with absolute discretion and with the degree of care required against misuse by any third party.

To avoid unauthorised viewing of documentation, such documentation shall only be transmitted by fax after prior agreement of the sending time with the customer.

10. Concluding provisions
The customer shall signal his/her agreement with these conditions by awarding this contract in writing.

Where individual clauses are ineffective, either totally or in part, the effectiveness of the remaining clauses or the remaining sections of clauses of this nature shall not be affected. Statutory regulations shall be effective in their place.

South African law shall be applicable to all contracts awarded to Convoyage companion service.

Place of jurisdiction for all disputes arising from this contract shall be the High Court of Cape Town.

The addresses and contact details provided in the contract between the parties shall be decisive for delivery. The parties shall provide immediate notification of any changes.
